Bộ luật dân sự có quy định về những trường hợp giao dịch dân sự vô hiệu nhưng lại chưa rõ về trường hợp nào Tòa án có quyền tự xem xét, tuyên bố giao dịch vô hiệu khi không có bên nào yêu cầu. Bài viết cho thấy có điểm khác biệt giữa pháp luật Việt Nam và một số hệ thống pháp luật trên thế giới. Nếu vô hiệu là chế tài cho việc vi phạm quy định bảo vệ lợi ích chung, Tòa án có thể tự xem xét, tuyên bố giao dịch vô hiệu. Tuy nhiên, nếu vô hiệu là chế tài cho việc vi phạm quy định bảo vệ lợi ích của chủ thể tham gia giao dịch, Tòa án không có quyền tự xem xét, tuyên bố giao dịch vô hiệu khi chủ thể được bảo vệ không yêu cầu Tòa án tuyên bố giao dịch vô hiệu.
